TrackingUSA offers a return policy for equipment purchased or rented directly from TrackingUSA through a corporate-owned TrackingUSA retail store, over the phone from TrackingUSA, and online from TrackingUSA Device Return Period If any of the equipment is defective, sold gps, rented ones within the active service period, the company will repair or replace it, at our discretion, within a reasonable time using components or replacements that are new or equivalent to new. Device Condition: All devices sent back to TrackingUSA must be in like-new condition with no physical or water damage and in the manufacturer's original packaging. You also must include original components including device, accessories and a copy of the invoice or receipt. If anything is missing or device is not in like-new condition, your shipment may not be accepted. We cannot accept returns or refunds for items not bought directly from TrackingUSA. If a device has physical or liquid or heat damage it cannot be returned and a credit will not be issued. How to Return or Exchange Your Device: If you bought your defective device at a TrackingUSA retail store, return it to any TrackingUSA. If you bought the device online at TrackingUSA.net or over the phone from TrackingUSA, mail the device back to TrackingUSA or bring it to any TrackingUSA retail store. Be sure to keep your tracking number.

Terms and conditions

Definitions. In this Agreement the following definitions apply: A "we," "us," "our," "the company" and "Tracking USA" mean Tracking USA, LLC; B "you," "your," "customer," "user" and "client" mean an account holder or user with us; C "Device" means GPS MODEM, GPS Monitoring, the equipment with or without accessories or the product that we sell or rent to you or that is active on your account with us; D "Service or services" means our offers, rate plans, options, or Devices on your account with us. Acceptance The following "contract" will describe the agreement and understanding between Tracking USA, LLC ("the company") and the customer ("the client"), in which we agreed to provide and the client agrees to accept our services. The client will be defined by the information written above in this contract, by the client itself, which he states it's all true and accurate by signing this contract. The signing of this agreement by the customer having had the opportunity to read it will be deemed conclusive evidence of the customer's acceptance of the Terms of this agreement. Tracking USA LLC it's a company that provides to their clients a monitoring vehicle service with the purpose of enabling the customer to know where his vehicle is located in order to improve the customer's logistics. This service is based on the reception of messages from a GPS modem installed in the client's vehicle, to the monitoring center of Tracking USA LLC. When the company receives a signal of the client's vehicle through this GPS, it will resend it through internet to the software of the company, which the client will have access once he signs our agreement, and he will be able to use it for the period that is stated in this contract. The company will give the client a username and a password for him to be able to see the position, speed and more information of his vehicle or vehicles, in a map of the company's software. Services: The company will charge for the the rent of the GPS number ___________that the client will receive to be installed in his vehicle, plus the monitoring service of it.. The client will have the right to use the company's software and the GPS MODEM while he keeps his contract in good standing. Once the contract expires, or it has been suspended or terminated, , the client will have to deliver the GPS Monitoring equipment to the company. The service requested in this contract by the above mentioned client and vehicle is the following: ONE MINUTE PRODUCT: Transmits info every 1 minute when the vehicle is in movement and every 10 minutes when it's parked. 15 SECONDS PRODUCT- LAUNCH OFFER!: Transmits info every 15 second when vehicle is moving and every 5 minutes when it's parked. . 10 SECONDS PRODUCT FULL SERVICE: Transmits every 10 second in movement and every 5 minutes when it's parked.. This equipment has the possibility to connect accessories to it (with additional cost of installation). Accessories available for installation with our full service product. Please choose which ones you want us to add to your equipment: ____ panic botton; ____ shut engine module; ____ connector with alarm module; ____ simultaneous accès to software; ____ garmin interface ____ ibutton interface (driver control) ____ temperature sensor ____ other; Specify: ______________________________________________ Once the term of this contract has expired, and due to the constant change and develop of technology related to the services, the company can adjust their monthly prices for any changes in GPS renting costs and monitoring costs, and apply them with written notice, to take effect immediately you've received the notice or when the contract is renewed. Terms, Prices & Discounts : This contract will be for a period of _____ months, starting today,until the _____ of ______________, ________. For the services mentioned previously, the client will have to pay a total of $____ each month ($___ tax included of renting the GPS and $____ tax included of the monitoring service). The first pay should be of three months in advance ($ ________ tax included). After the 3 months, the client should pay each month in advance before 10th or can choose for paying 6 months in advance with 10% discount or a year in advance with 15% discount. Thereafter charges for the Services are due to be paid by electronic transfer in advance at the beginning of each calendar month or quarter or year as detailed in the Plan, from the start of the next calendar month to the expiry of the Term, or as otherwise detailed in the Plan, and are not refundable. The Client agrees that these costs will be debited from his VISA / MASTERCARD / DISCOVEY / AMEX / card ________________________ expiration date: __ / ___ The client accepts to pay any tax that may be imposed by the government during the contract term. Renewal and termination: This contract will renew automatic for successive 1 month periods, unless any of the parties sends a letter notifying not to do so, 30 days before the expiration date. If the customer cancels the agreement before the expiration date he will have to pay the company all the services listed in the agreement for the remaining term of it. The customer will not be charged for an early cancellation only if the company does not give the service that agreed to and does not resolve the issue after 30 days of being notified. The company will not be liable and would be able to cancel the agreement if the GPS or Satellites networks shut down. . In the event of default, we can suspend any or all services, and the client will no longer have access to our software. We may charge the customer $5 per administration charge and a late fee and interest at the rate of one and one-half percent (1 1/2%) per month (or the highest rate permitted by law, if such rate exceeds the highest rate permitted by law) to compensate Tracking USA, LLC for the extra administrative expenses incurred by it. If the client regularizes his payments, the company may, after management discussion reinstate services to him. All charges for the services are due to be paid in advance at the beginning of each calendar month or quarter or year as detailed in the agreement, from the start of the next calendar month to the expiry of the term, or as otherwise detailed in the contract, and are not refundable. In case the agreement is cancelled, or it has been suspended or terminated, the Client will have to return the GPS equipment to the company. In case he doesn't return the it in the first 15 days, Tracking USA, LLC will be authorized to charge the Client for the amount of $250.00+tax. If the customer does not pay everything he owes to the company in the next 15 days, the company will have the right to take the GPS from the client's vehicle and to file default in all Credit Reporting Agencies and to take legal actions to collect your invoices. The GPS must be returned to the company in the same conditions that it was delivered to the client, except the natural wear and tear for the time. If this is not the case, the company may charge the corresponding repairs. Customer is responsible for any costs associated with removing and delivering the GPS from the vehicle to the company, and he will be charged for all expenses if the company has to take care of that issue. The Client is responsible for all expenses incurred as a result of legal actions to collect their invoices for non-compliance by THE CLIENT. In the event that the signatory represents a legal entity, it will import its joint and several liability. Both sides of this agreement may cancel it at any time before the expiration date if they pay to the other part an amount of money equivalent to the sum of the remaining months to complete the term of the agreement. If the customer disconnects the GPS MODEM from the vehicle or send it to the company or stops using the software or the Monitoring services, charges for the service will continue, only cancelling the agreement as detailed in this contract will be stop charges to the customer. Delivery & Installation: . Tracking USA, LLC will not be responsible for any damage resulting from late delivery. With our ONE MINUTE PRODUCT, and our 15 SECONDS PRODUCT - LAUNCH OFFER, you will be able to install the product yourself. You can find an easy step by step video explaining the installation in our web. These are OBDII equipments that easily connects to the computer in your car just by plugging it in. Once it's plug it's ready ! The 15 SECONDS PRODUCT FULL SERVICE equipment will have a cost of $ ______ for the installation including the installation of all the accessories requested by the client mentioned above in this contract. Installations shall be carried out by either customer, customer third party or Tracking USA, LLC third parties, therefor Tracking USA LLC will not be liable for any loss or damage whatsoever, arising directly or indirectly, as a result of any negligence or failure of customer or such third party in installing the products, and customer's sole remedy for any such negligence or failure shall be solely against such third party, as applicable. Warranty: Tracking USA, LLC guarantees to the customer that the GPS rented will be free from defects for the duration of the product rental. If the equipment is defective within this period, the company will repair or replace it, at our discretion, within a reasonable time using components or replacements that are new, or equivalent to new. The Customer will have to call the company to inform about any problem with the equipment, if the company decides that the equipment needs to be change we will give the client a job number, then please adequately package the defective GPS and ship it to Tracking USA in Miami. Write the job number outside the package. If the package don't have a job number it will be returned to freight collect to the sender. Tracking USA will return the repaired or replacement GPS Modem to the customer freight prepaid and fully insured if the warranty claim or request for maintenance is valid. The above warranties shall be null and void in the event that there has been any alteration, modification, or special configuration made by the customer or any third party to the GPS. In this circumstance, Tracking USA may charge for repaired or replaced components or for the full GPS. Under no circumstances will Tracking USA LLC be liable for any costs and expenses incurred by a customer (through a third party or otherwise), such as repair costs to a GPS and/or a Vehicle, in the event that the Customer does not first comply with its obligations under the warranties detailed above. TRACKING USA LLC DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, NOR THAT THAT THE SERVICES WILL BE WITHOUT DISRUPTION, NOR THAT ANY REPORTS, DATA OR INFORMATION PROVIDED AS PART OF THE SERVICES WILL BE FREE FROM ERRORS, OMISSIONS, INACCURACIES OR NONCONFORMITIES, AND TRACKING USA, LLC SHALL HAVE NO LIABILITY OR OBLIGATION TO THE CUSTOMER IN THIS RESPECT Liability Tracking USA, LLC will have no liability for a failure to provide or for delay in providing monitoring service, installation of equipment or Services due directly or indirectly to causes beyond the control of Tracking USA or its subcontractors, including, without limitation, acts of God, or governmental entities, or of the public enemy, wars, , strikes, unusually severe weather conditions, interruptions of transportation, political instability or inability to obtain necessary labor, materials or facilities, default of any supplier, or delays in Federal Communications Commission ("FCC") frequency authorization or license grant. Delivery schedules of the GPS shall be considered extended by a period of time equal to the time lost because of any such delay. If Tracking USA is unable to wholly or partially provide a GPS or perform the Services for more than 30 days because of any cause beyond its control, both parts (the company or the client) may terminate the Agreement without any liability to the other, other than refund any amounts paid and not provided. Limited of Liability and disclaimer of warranties: Assignment The Customer may not assign its rights or obligations, in whole or in part, to any third party without Tracking USA's written approval. Third Parties A person who is not a party to this contract has no right to enforce any term of this Agreement. High-Risk Disclaimer Tracking USA, LLC PRODUCTS, SOFTWARE AND SERVICES ARE NOT FAULT- TOLERANT AND ARE NOT DESIGNED OR INTENDED FOR USE IN HAZARDOUS ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTROL, WEAPONS SYSTEMS, LIFE- SUPPORT MACHINES OR ANY OTHER APPLICATION IN WHICH THE FAILURE OF THE PRODUCTS, SOFTWARE OR SERVICES COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY OR SEVERE PHYSICAL OR PROPERTY DAMAGE (COLLECTIVELY, "HIGH-RISK ACTIVITIES"). TRACKING USA, LLC EXPRESSLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF FITNESS FOR HIGH-RISK ACTIVITIES. The client declares to know that the company is not an insurance company nor that the monitoring service is used to prevent theft, therefore it is not responsible for the monitored vehicle nor for the damages or thefts on the vehicle, people or articles. The customer declares that he should not use this service to replace any theft insurance or accident insurance. Communication & SIMS: The Services are intended only for routine messaging and ascertaining of location, Vehicle status and business information (i.e. not emergency or prevention of crime). The cost of communications associated with the use of the Services is included in the fees specified in the Plan, except if the client want to monitor a vehicule outside the United States, circumstance that the client shall inform the Company (normally, the vehicle can not be monitored if it is outside the United States) .s. Customer acknowledges that there are some areas, generally far away from any cities, that SIM coverage doesn't exist or is not good, and sometimes it is not possible to know the vehicle position. Customer acknowledges that Tracking USA may, for its internal test and quality control purposes, without charge to the Customer, locate or communicate with the GPS used by the Customer. The Customer shall not remove, or permit or allow others to remove, any SIM card located in the GPS for communication purposes from any of the devices. The Customer is responsible for the loss or theft and any consequent (including fraudulent or improper) usage of the SIMs. Customer acknowledges and agrees that the Services may be temporarily refused, interrupted, curtailed or limited because of atmospheric, terrain, or other natural or artificial conditions and may be temporarily interrupted or curtailed due to usage concentrations, modifications, upgrades, relocation and repairs of the transmission networks. Customer agrees that Tracking USA, LLC will not be responsible for such interruptions of Services or the inability to use the Services within the Coverage Area. Tracking USA does not guarantee the security of wireless transmissions and the Customer agrees that shall not be liable for any lack of security relating to the use of the Services. Tracking USA may temporarily suspend or permanently terminate the provision of some or all of the Services upon little or no notice in the event that Tracking USA's agreement with its Satellite provider is terminated or in the event the Customer violates their acceptable use policy or other network rules and policies. Software: Tracking USA has all the rights and licenses about all our softwares. Tracking USA grants the Customer a limited license to use the Software for the Term and for purposes of the Agreement. The Customer may not derive or attempt to derive the source code or structure of all or any portion of the Software by reverse engineering, disassembly, decompilation, or any other means. The Customer acknowledges that if, speed data, vehicle analytics, battery life, fuel data form part of the Services in the Plan it may contain inaccurate or incomplete information due to changing circumstances, sources used and the nature of collecting such data, any of which may lead to incorrect results. Information: The Customer warrants that it will advise any employee or other authorized user of a vehicle that the vehicle may be tracked; the Customer and employees will be able to view details relating to Vehicle(s) using the Software; and the Customer will be able to produce historical reporting of Vehicle(s) for a period of up to 6 months prior to the date on which the report is requested or for the period from when the Services were active if less. The Customer consents to Tracking USA, LLC , to track and trace the location, time and speed of vehicles via the device GPS Modem installed in their vehicle for the purposes of the Agreement. Equipment Mantainance: This equipment works with energy from the vehicle battery. ADDITIONAL SERVICES - THE CUSTOMER may hire the COMPANY additional services, so that there may be other contracts parallel to it, which would not delegate the clauses provided herein. Governing Law and Jurisdiction This Agreement and these Terms shall be construed in accordance with the laws of the State of Florida, and shall be subject to the exclusive jurisdiction of the courts of Miami, Florida. The parties agree to waive, to the maximum extent permitted by law, any right to a jury trial with respect to any dispute or claim.
